We reserve the right to change prices at any time without prior notice, provided that any changes will not affect orders already confirmed and accepted.

By placing an order, you represent and warrant that:

• You will pay all charges incurred at the listed prices, including applicable taxes and delivery fees.

In the event of cancellation after payment has been processed, we will issue a full refund to your original payment method within a reasonable timeframe.

Refund and Return Policy: Due to the perishable nature of food products, all sales are generally final. • WARRANTIES THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE;
• WARRANTIES THAT DEFECTS IN THE SITE WILL BE CORRECTED;

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;
• LOSS OF DATA OR BUSINESS INFORMATION;
• LOSS OF GOODWILL OR REPUTATION;
• BUSINESS INTERRUPTION;
• PERSONAL INJURY OR PROPERTY DAMAGE;
• ANY OTHER PECUNIARY OR NON-PECUNIARY LOSS

ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages. In such states, our liability shall be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza, its affiliates, licensors, service providers, employees, agents, officers, directors, and successors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of or access to the Site or Services, including any information or content you submit, post, transmit, or otherwise make available through the Site;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;
• Any fraud or misrepresentation committed by you;
• Any food orders placed through your account, whether or not authorized by you;
• Any negligent or wrongful conduct on your part.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claims. You shall not settle any claim subject to indemnification without our prior written consent.

13. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Jet's Pizza is registered and operates, without giving effect to any conflict of law principles that would require the application of the laws of a different jurisdiction.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

If you are a consumer in a state that provides additional statutory protections, nothing in these Terms shall be construed to limit or waive any rights you may have under applicable state consumer protection laws, including but not limited to the consumer protection statutes of your state of residence.

14. Dispute Resolution and Arbitration

Binding Arbitration: Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services that cannot be resolved informally shall be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted on an individual basis and shall not be consolidated with any other arbitration proceedings.

Class Action Waiver: YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator shall not have authority to consolidate the claims of multiple parties or preside over any class or representative proceeding unless both parties agree in writing.

Arbitration Procedures: The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated in accordance with the applicable AAA rules, provided that we will pay all AAA filing, administration, and arbitrator fees for any arbitration initiated in accordance with the notice requirements above, up to a maximum of one thousand dollars ($1,000).

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

Time Limitation: ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. We reserve the right, in our sole and absolute discretion, to:

• Terminate or suspend your access to the Site or Services at any time, with or without cause, with or without notice;
• Delete your account and all associated data and information;
• Refuse service to any individual or entity for any reason not prohibited by applicable law.

Grounds for termination may include, but are not limited to, violation of any provision of these Terms, engaging in fraudulent activity, abusive behavior toward our staff or other customers, filing chargebacks without legitimate cause, or any conduct that is harmful to Jet's Pizza, its customers, or third parties.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including outstanding payment obligations.

Upon termination, the following provisions shall survive and continue to bind the parties: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that by their nature should survive termination.

16. Changes to Terms of Service

Jet's Pizza reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will provide notice by:

• Updating the "Last Updated" date at the top of this page;
• Posting a prominent notice on the Site;
• Sending an email notification to registered account holders (where applicable).

Your continued use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Site and Services immediately and, if applicable, deactivate your account.

17. Severability

If any provision, clause, or portion of these Terms is found to be invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction under applicable law, then that provision shall be deemed severable from the remaining Terms and shall not affect the validity and enforceability of any remaining provisions.

In such event, the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, consistent with the intent of the parties as originally expressed, and the remaining provisions of these Terms shall continue in full force and effect.

The failure of Jet's Pizza to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Jet's Pizza with respect to your use of the Site and Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between the parties, whether written or oral, relating to such subject matter.

No modification to these Terms shall be effective unless made in writing and signed by an authorized representative of Jet's Pizza, except for changes made pursuant to Section 16 of these Terms.

19. Force Majeure

Jet's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, civil unrest, labor strikes, supply chain disruptions, utility failures, governmental actions, internet or telecommunications outages, or any other event of force majeure. In such circumstances, we will make reasonable efforts to notify you of the disruption and resume normal operations as soon as practicable.

20. Electronic Communications and Consent

By using our Site and providing your email address or phone number, you consent to receiving electronic communications from us, including order confirmations, receipts, updates, promotional offers, and administrative messages. These electronic communications satisfy any legal requirement that communications be in writing.

Please note that opting out of marketing communications will not affect transactional communications related to your orders or account.
